Legal Specialist - Corporate and Contracts

JOB PURPOSE

The Legal Specialist will be a valued member of the North American Legal Group and assist the corporate attorneys within the Unilever Legal Team (including the General Counsel) with several areas of focus, including: legal entity management, corporate governance, treasury transactions, tax and finance transactions, contract review and negotiation, and other corporate and commercial transactions.

WHAT WILL YOUR MAIN RESPONSIBILITIES BE

• Draft, file and manage various business entity documents for corporations, LLCs and partnerships with state agencies, including drafting and preparing formation documents, board minutes, actions by consent, name changes, etc.

• Maintain and update Corporate Records and Minute Books

• Prepare and execute Statutory Registrations and Filings

• Fulfill Corporate Secretarial requirements

• Review and negotiate form contracts such as non-disclosure agreements, service agreements and statements of work

• Support Global Treasury & Tax functions in various financing transactions

• Collaborate with cross functional teams on external and internal reporting requirements, routine and operational matters as well as special projects

• Communicate with internal stakeholders regarding risks presented by contract terms and possible strategies to mitigate such risks

• Act as the primary point of contact between the Legal Department and internal stakeholders

• Organize records and file materials utilizing various electronic document management systems

• Effectively and independently solve problems with critical thinking skills, using discretion and good judgement
